These are the terms of e-ditio CTC UG (haftungsbeschränkt) - you have to accept them in order to use the services provided by e-ditio.

The following terms and conditions apply to your use of the e-ditio online services. When using the e-ditio website, you indicate that you accept our terms and conditions and all user policies mentioned herein and, further, you agree to abide by them.
The Terms and Conditions are effective from June 2015.

1. Contractual Partner
1.1. Your contractual partner for www.e-ditio.eu or www.e-ditio.de is e-ditio CTC UG (haftungsbeschränkt) You can find detailed information regarding e-ditio CTC Ug (haftungsbeschränkt) in the Legal Note.
1.2. The parties on the platform shall be classified as followed:
• Language Professionals (proofreader, copyeditor, translator), subsequent „contractor“. You can find specified information for contractors at paragraph 9.
• Authors & Publishers (authors, companies, further institutions), subsequent „purchaser“. You can find specified information for purchasers at paragraph 10.

2. Registration
2.1. You can use the platform and services as a contractor or purchaser after being approved by e-ditio. With your registration on the platform you agree to a frame contract with e-ditio regarding the use of the platform and services. You are responsible for your account, which is accessible with your login-details (user name and password).
2.2. On the basis of this frame contract you are able to agree to the use of further services and offers of e-ditio. Please find details regarding services, technical requirements and – if the service is in return for payment – prices in the particular specifications which we will show you prior to the booking.
2.3. The frame contract starts with the activation of your login details by e-ditio (2.1.) and is valid for an undefined period of time. The frame contract is not transferable.
2.4. Clients (contractors and purchasers) have to register for an account and provide accurate and complete information (in particular identity, address, telephone-number, email-address, qualifications). You must provide your banking details if it is necessary for your payment. We reserve the right to request you prove the given information with appropriate documents.
2.5. You have to keep your account information up to date while using e-ditio. You are able to change your profile using the provided features at the website.

3. Login-Details
3.1. It is forbidden to provide login-details (user name and password) to third parties.
3.2. Please contact us immediately if you believe that an unauthorised third party has used your login-details. e-ditio is allowed to operate any necessary actions, in particular blocking your account, in instances where there is reasonable suspicion of unauthorised use of your login details. If third parties access your account as a result of your own actions, you are liable for damages and fees where required.


4. Information and Communication
4.1. We will inform you about topics relevant to you in connection with the use of our services at our website, e.g. FAQs. Furthermore we will be happy to answer your questions via our contact form.
4.2. You will receive important information about your contract and the services of e-ditio from time to time. This information will be sent to the email-address you provided. Therefore it is important that you always keep your email-address up to date and check your email account regularly.

5. Technical Specifications
5.1. We try to avoid restrictions, impairments, disconnections or other limitations on the use of our services as far as technically possible. Please note that with the current state of information technology, we cannot exclude such limitations completely. This applies to those contents and channels beyond our control. Our liability for limitations we are responsible for are specified at paragraph 12.
5.2. Maintenance and enhancement of our services will cause temporary usage restrictions. We make sure that the restrictions do not exceed in a reasonable amount.
5.3. To protect our services, clients and third parties against harmful programs and contents like viruses, trojans or spam emails, we may use technically safety measures. This includes, among other things, filter systems, insofar as it is appropriate for the protection of our telecommunication and data systems.

6. Billing, Payment

6.1. We will always inform you in advance when a service is not free of charge. In that case we will provide prices and capability characteristics in advance.
6.2. Due to the intermediation model there is only advance payment available. We will give you our bank details in the order confirmation and will send you an invoice via email.
6.3. The work progress starts after payment. e-ditio will pay out the contractor without the need for notification from the purchaser after the completion of the work.

7. Lawful Utilisation, Blocking
7.1. You may only use our services in a manner or for purposes that do not violate these terms of service or applicable law or infringe the right of third parties. Please note in particular:
• Unlawful content is forbidden, especially that which is against human dignity, which is racist, pornographic, offensive, immoral or glorifies violence. Furthermore the dissemination of content which affects or threatens children or adolescents in their development or education is forbidden. In addition you may not invite for criminal acts or publish instructions for criminal acts.
• The abuse, harassment or defamation of other users is forbidden.
• It is permitted to infringe copy-, trademark- or other property-rights of third parties by using e-ditio.
• It is forbidden to spread unsolicited spam- or bulk-mailings.
7.2. If you violate these terms and conditions or applicable law we will take the necessary measures. This can be limited to the information that the terms and conditions, legal regulations or the duties of consideration are violated at minor infringements. Severe violations may result in temporary or complete suspension of several services or your complete account.
7.3 Stakeholders can not close agreements with one another without permission of e-ditio when they were brought together through e-ditio.

8. Your Content
8.1. We offer the opportunity to present yourself/ your business in the context of e-ditio profiles or as part of your deals. For this purpose you can upload and integrate data, text and images.
8.2. We do not claim any usage or exploitation rights regarding your content.
8.3. You must have the necessary rights for all content which you make accessible at e-ditio. Please check that you have the necessary rights before you publish content.
8.4. We have the right to delete or block content or your account if there are reasonable suspicions that the content violates the terms and conditions, legal regulations or the rights of third parties. A reasonable suspicion exists particularly if you are prosecuted criminally because of the published content. We can maintain the blocking until the suspicions have been removed. We reserve the right to check your content before publishing and to reject it if necessary.

9. Contractors: Your Offers, Your Orders
9.1. The order of the purchaser (authors, companies, further institutions) which is published at e-ditio is a non-binding invitation to tender offers by you as a contractor. You can only tender your offers via the provided service at e-ditio.
9.2. You have to specify the actually to be invoiced a price, i.e. the gross amount including VAT (if required), additional costs as well as the e-ditio fees. The statement of net prices is only allowed if the purchaser specifically allows for it in the order.
9.3. The fees of e-ditio will be reported separately at the invoice, but are part of the calculation for the purchaser.
9.4. You are bound to your offer for seven days. The purchaser may accept your offer during this time.
9.5. To e-ditio submitted orders and offers can only be deactivated or deleted via the specified service at the platform.

9.7. Please note that the contractual relationship regarding the order occurs solely between the contractor and the purchaser. The content of the contract depends on your agreement and applicable law.

10. Purchasers: Rights On Your Manuscript, Your Orders
10.1. You may only offer works for editing at e-ditio for which you are in possession of all relevant rights, especially copyrights.
10.2. Please note that the processing of manuscripts by the contractor may be copyright significant. The support of e-ditio will be available for your questions.
10.3. Your published project is a non-binding invitation to tender offers by the contractors (proofreader, copyeditors, translators). You can create your projects via the specified service at the platform and accept an offer later on. The contractor has to specify the actual price to be invoiced, i.e. the gross amount including VAT (if required), additional costs as well as the e-ditio feeds. You can allow the statement of net prices in your order.
10.4. The fees of e-ditio will be reported separately at the invoice, but are part of the calculation of the contractor.
10.5. You are bound to your order and the contract during the work process. Likewise the contractor is bound to his offer. The acceptation of an offer of a contractor results in a legal transaction between you and the contractor.
10.6. To e-ditio submitted projects, orders and offers can only be deactivated or deleted via the specified service at the platform.

10.8. Please note that the contractual relationship regarding the order occurs solely between the contractor and the purchaser. The content of the contract depends on your agreement and applicable law.

11. Use Of Your Personal Data
11.1. We use your personal data exclusively for the provision, use and invoicing of our services, unless a more extensive use of data is provided by law or you have expressed your consent before.

12. Liability
12.1. We are liable for every culpable violation of the contracts between e-ditio and its clients. In all other cases we are only liable if the damage was caused by gross negligence of wilful misconduct.
12.2. We are explicitly not liable for violations of the contracts between the purchasers and contractors.
12.3. Notwithstanding 12.1. we are non-liable if the damage was caused by slight negligence for services which are free of charge.

13. Contract Period, Termination Of The Contract
13.1. The frame contract is concluded for an undefined period and can be terminated monthly.

13.3. We have the right to terminate a frame contract with you, if it is no longer reasonable to adhere to the contract, especially if you violate these terms and conditions or applicable law. We are also entitled to terminate a frame contract with you with a notice period of one month. You will receive the termination via email to the email-address you provided. An effective dismissal for cause of the frame contract terminates all existing contractual relationships between e-ditio und you.
13.4. In case of termination by us you are only allowed to sign-up for our services again with our expressed consent. It is forbidden for current e-ditio users to allow former e-ditio users the access of our platform and our services.
13.5. Your right to dismissal of cause remains unaffected.

14. Modification Of The Terms and Conditions, Service Changes
14.1. We reserve the right to modify the terms and conditions with effect for the future in accordance to the following procedure: We will inform you about the changes via email at least two weeks prior to the entry into force of the new terms and conditions. You can object to the changes within two weeks of receipt of the email. If you agree to the changes, or if you do not object to them within the given period, the changes commence on the notified date. If you do not agree to the changes your contract will be continued under the present conditions or will be terminated by e-ditio (s. paragraph 13). We will inform you together with the proposed modifications about your right of objection and the linked periods.

15. Place Of Jurisdiction
If you are a merchant according to the german Handelsgesetzbuch, a legal entity under public law or if you have no general jurisdiction in the Federal Republic of Germany, Berlin is the place of jurisdiction for all disputes or lawsuits arising in connection with the use of e-ditio.
